Terms of Service
The agreement that governs your purchase and use of ProxyFalcon proxy access.

1. The agreement
These Terms of Service ("Terms") form a binding agreement between you ("Client") and ProxyFalcon, a brand operated by LeadifyCPA ("we", "us"). They apply to your purchase and use of any ProxyFalcon service, together with our Acceptable Use Policy, Privacy Policy and Refund Policy, each of which is incorporated into these Terms by reference.
By completing verification, making payment or using issued credentials, you accept these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind it.
2. Service description
ProxyFalcon provides access to third-party-supplied proxy network capacity, resold and managed by us, in three forms:
- Rotating residential access through consumer ISP-assigned IP addresses, with per-request rotation or sticky sessions and country- or city-level targeting.
- Mobile 4G/LTE access through mobile carrier networks, with country- and where available carrier-level targeting.
- Dedicated / static ISP access through fixed, ISP-registered addresses assigned to your account.
Access is delivered as one or more isolated sub-accounts consisting of a gateway host, port, credentials and targeting parameter syntax. Bandwidth is drawn from a single balance across network types, with different network types consuming that balance at different rates as stated in your quote.
We are a reseller. We do not own the underlying networks and we make no representation that any specific IP address, subnet, city or carrier will be available at a given moment. Pool composition changes continuously by design.
3. Eligibility and verification
You must be at least 18 years old and legally able to enter into contracts. You must not be located in, or acting on behalf of a party in, a country or entity subject to sanctions that would prohibit us from supplying you.
We do not accept anonymous signups. Before credentials are issued you must complete verification, which requires:
- A real, reachable name and email address, and a business name where you are buying as a company.
- A specific description of the workload you intend to run, the target countries and expected volume.
- For reseller and higher-volume accounts, additional identity or business documentation on request.
We may decline any application at our discretion and without giving reasons, and we may re-verify an existing account if its usage pattern changes materially. Providing false or misleading verification information is a material breach of these Terms and of the AUP.
4. Accounts, credentials and sub-accounts
You are responsible for keeping your credentials confidential and for all traffic transmitted through your sub-accounts, whether or not you authorised it. Notify us immediately at media@leadifycpa.com if you believe credentials have been exposed, and we will rotate them.
You may not share, resell, sublicense or redistribute access outside your organisation without a written reseller agreement. Where a reseller agreement is in place, you remain fully responsible for your downstream users' compliance with these Terms and the AUP, and for handling abuse reports relating to their traffic.
5. Payment and bandwidth terms
- Prepaid. All published plans are prepaid. Credentials are issued after payment clears and verification is complete.
- Currency and taxes. Prices are quoted in US dollars unless stated otherwise and exclude any taxes, duties or bank charges applicable to you, which are your responsibility.
- Bandwidth measurement. Consumption is measured at our gateway and includes request and response traffic in both directions, including headers and any assets your client requests. Our gateway measurement is the authoritative record for billing.
- Non-expiring balance. Purchased bandwidth on the published plans does not expire and rolls forward. Balance has no cash value and is not transferable between clients.
- Top-ups. Top-ups add to your existing balance and are priced at the tier the top-up qualifies for at the time of purchase.
- Price changes. We may change published prices at any time. Changes do not affect bandwidth you have already purchased.
- Non-payment. Invoiced accounts that remain unpaid past their due date may be suspended without further notice.
Refunds are governed by the Refund Policy.
6. Acceptable use
Your use of the service is governed by the Acceptable Use Policy, which forms part of these Terms. You additionally agree to comply with the acceptable use policies of our upstream network providers, and acknowledge that where an upstream policy is stricter, the stricter requirement applies to you.
You are solely responsible for the legality of your activity in your own jurisdiction, in the jurisdiction of the exit IP address, and in the jurisdiction of the systems you access.
7. Suspension and termination
We may suspend or terminate your access, in whole or in part, immediately and without prior notice, where:
- we detect or receive a credible report of a breach of the AUP;
- an upstream provider requires it;
- your traffic threatens the stability, reputation or supply of the network;
- payment fails, is reversed or is charged back;
- verification information proves false, or you refuse re-verification; or
- we are required to do so by law.
Suspension for a breach of the AUP does not entitle you to a refund of remaining bandwidth, and remaining balance is forfeited in the serious categories set out in the AUP. You may stop using the service at any time; because balances are prepaid and non-expiring, no notice is required and no further charges arise.
We may also discontinue the service as a whole, in which case we will give active clients reasonable notice and refund unused bandwidth on plans that were still active at the date of the notice.
8. Service availability and disclaimers
We work to keep the service available and performant, but proxy networks depend on third-party capacity and consumer connections that we do not control. The service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
We specifically do not warrant that: any particular IP, city, carrier or subnet will be available; that any target site will accept traffic from the network; that throughput, latency or success rates will meet a particular figure; or that the service will be uninterrupted or error-free.
Where a fault on our side or on our upstream network prevents you from using the service, the remedy available to you is set out in the Refund Policy — typically a bandwidth credit for the affected period.
9. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or anticipated savings, however caused.
- Our total aggregate liability arising out of or relating to the service, on any basis, is limited to the amount you actually paid us for the service in the three (3) months immediately preceding the event giving rise to the claim.
- We are not liable for any consequence of your use of the service, including blocking, banning or restriction of your accounts by third-party platforms, or any legal claim arising from the destinations you chose to access.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
10. Indemnity
You agree to indemnify and hold us and our upstream providers harmless from any claim, demand, loss, penalty or expense (including reasonable legal fees) arising from your use of the service, your breach of these Terms or the AUP, your downstream users' conduct, or your violation of any law or third-party right.
11. General
Changes. We may amend these Terms. The current version is published on this page with its "Last updated" date, and material changes are notified to active clients by email. Continued use after a change is acceptance of it.
Entire agreement. These Terms, together with the AUP, Privacy Policy and Refund Policy, are the entire agreement between us and supersede prior discussions, including marketing statements on this website.
Severability and waiver. If any provision is held unenforceable, the remainder stays in force. A failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them as part of a reorganisation or sale of the business.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including upstream network failure, internet outages, government action or natural disaster.
12. Governing law and disputes
These Terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute arising from them, without regard to conflict-of-law rules.
Before commencing formal proceedings, both parties agree to attempt in good faith to resolve the dispute by direct discussion for at least thirty (30) days after written notice of the dispute is given.
